Terms of Service

By accessing or using TLM ("the Service"), provided by Neural Forge Technologies LLP ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

1. Acceptance of Terms

By accessing or using TLM, you confirm that:

  • You are at least 13 years of age.
  • You have the legal capacity to enter into a binding agreement.
  • If you are using the Service on behalf of an organization, you have the authority to bind that organization to these terms.

2. Description of Service

TLM is a subscription plugin for the Claude Code CLI. It provides spec-driven development, TDD enforcement, a multi-agent review council, and automated code review. Features and functionality may change as the Service evolves.

3. Subscription, License & Cancellation

TLM is sold by Neural Forge Technologies LLP, the seller of record, as a recurring subscription (monthly or annual, depending on the plan you choose). Your subscription grants a non-exclusive, non-transferable license to use TLM for as long as the subscription remains active, and includes software updates and support throughout that period.

Individual use only. This license is for your individual use only. You may not resell, redistribute, sublicense, reproduce, copy, or otherwise make the Software or any of its materials available to any third party. Any such use is a material breach of this Agreement and terminates your license.

Billing & automatic renewal: your subscription renews automatically at the end of each billing period at the then-current price for your plan, until you cancel. Applicable taxes are handled at checkout by our payment processor.

Cancellation: you may cancel at any time. When you cancel, your access continues through the end of the billing period you have already paid for; at the end of that period the subscription ends and does not renew. See our Refund & Cancellation Policy.

Refunds: payments already made — including the current period and any prior renewals — are non-refundable. Cancelling stops future charges; it does not refund a charge already made, except where a refund is required by applicable law.

4. User Accounts

Account Creation: You may be required to create an account to access certain features. You must provide accurate and complete information during registration.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

Account Termination: We reserve the right to suspend or terminate your account at any time for violation of these terms or for any other reason at our sole discretion.

5. User Content and Code

You retain ownership of all code and content you submit to TLM. By using the Service, you grant us a limited, non-exclusive license to process your code solely for the purpose of providing the Service (e.g., code review, analysis, and suggestions).

AI Processing Acknowledgment: You acknowledge that your code will be processed by artificial intelligence systems as part of the Service. AI-generated suggestions are provided as-is and should be reviewed by you before implementation.

6. Prohibited Uses

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Attempt to reverse engineer, decompile, or disassemble any part of the Service.
  • Gain or attempt to gain unauthorized access to the Service, other accounts, or related systems.
  • Interfere with or disrupt the Service or servers or networks connected to the Service.
  • Use the Service to transmit malware, viruses, or other harmful code.
  • Resell, redistribute, or sublicense access to the Service without our prior written consent.

7. Intellectual Property

All content, features, and functionality of the Service — including but not limited to software, text, graphics, logos, and trademarks — are owned by Neural Forge Technologies LLP and are protected by intellectual property laws. Nothing in these terms grants you any right to use our trademarks or branding without prior written permission.

8. Third-Party Services

TLM may integrate with or rely on third-party AI services and cloud infrastructure to deliver its functionality. We are not responsible for the practices or policies of these third-party providers. Your use of the Service is also subject to the terms and policies of these providers.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that AI-generated code reviews, suggestions, or analyses will be accurate, complete, or error-free. You are solely responsible for reviewing and validating any output from the Service before use.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEURAL FORGE TECHNOLOGIES LLP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data.
  • Business interruption.
  • Cost of substitute services.
  • Damages arising from unauthorized access to or alteration of your code or data.

Our total aggregate liability for all claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Neural Forge Technologies LLP, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these terms, or your violation of any rights of a third party.

12. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

13. Changes to Terms

We reserve the right to modify these terms at any time. When we make significant changes, we will notify you by email or by posting a prominent notice on our website. Your continued use of the Service after such changes constitutes acceptance of the updated terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, India.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Neural Forge Technologies LLP regarding your use of the Service, and supersede any prior agreements or understandings.
